       The Measures for the identification and Administration of Hi-Tech Enterprises of Shenzhen Municipality are the measures for the identification and administration of hi-tech enterprises and resident enterprises registered in China (excluding Hong Kong, Macao and Taiwan) for more than one year.

Chapter I General provisions

Article 1 These Measures are formulated in accordance with the relevant provisions of Several Policies and Measures on Strengthening Independent Innovation and Promoting the Development of High-Tech Industries (Shenfu [2008] No. 200), in order to regulate the identification and administration of high-tech enterprises in Shenzhen.

Article 2 The term "high and new technology enterprises" as mentioned in these Measures refers to the enterprises that continuously carry out research and development and transformation of technological achievements, own independent intellectual property rights, and carry out business activities on the basis of them. Independent intellectual property rights refer to the ownership or use rights of the core technologies of its main products (services) through independent research and development, transfer, gift, merger and acquisition, exclusive licensing, etc. The intellectual property rights mentioned in these Measures include inventions, utility models, designs that do not simply change the pattern and shape of products, software Copyrights, exclusive rights for layout designs of integrated circuits, and new varieties of plants.

Article 3 Shenzhen high-tech enterprises identified in accordance with these Measures to enjoy research and development subsidies and other preferential policies and measures related to Shenzhen high-tech enterprises, can not enjoy the "People's Republic of China Enterprise income Tax Law" enterprise income tax concessions.

Article 4 These Measures shall be jointly implemented by the municipal department of science and Technology and the municipal department of Finance.

Shenzhen high-tech enterprise identification field

Article 5 A new and high-tech enterprise shall be engaged in the research and development, production, sales or technical services of the following new and high-tech technologies and their products, and an enterprise solely engaged in the sale of commodities cannot be identified as a new and high-tech enterprise:

(1) Electronic information and software;

(2) biological engineering, medicine and medical devices;

(3) new materials;

(4) opto-mechatronics and advanced manufacturing;

(5) Environmental protection;

(6) New energy and high efficiency and energy conservation;

(7) aerospace;

(8) modern agriculture;

(9) Earth, space and ocean engineering;

(10) nuclear applications;

(11) Transforming and upgrading traditional industries with advanced technologies and processes;

(12) To provide research and development, technical consulting, technology trading, industrial design and other services for the development of high and new technology industries;

(13) Related technical products supporting the above fields, as well as other high and new technologies and their products suitable for the characteristics of Shenzhen's economic development.

Article 6 High and new technology refers to the technology that meets the field specified in Article 5 of these conditions and has reached the domestic advanced level.

High-tech products refer to the products belonging to the "Shenzhen High-tech Products Catalogue" and meet the following conditions:

(1) comply with international standards, national standards and industry standards, or enterprise standards recognized by technical supervision departments at or above the prefecture level;

(2) the product quality testing institutions test, quality qualified;

(3) Reaching the domestic advanced level.

The identification of high-tech enterprises must meet the following conditions at the same time:

(1) Registered in Shenzhen for more than one year (one fiscal year), with independent legal personality.

(2) The ownership of intellectual property rights is clear, there is no intellectual property dispute, and one of the following quantity requirements is met:

1, invention or more than 1 new plant varieties;

2, more than 2 utility models;

3. At least 3 pieces of design or software copyright or integrated circuit layout design exclusive rights that do not simply change the product pattern and shape.

(3) For enterprises with sales revenue of less than 50 million yuan in the most recent year, the proportion of the total research and development expenses in the total sales revenue of the three fiscal years shall not be less than 5%; Scientific and technological personnel with college degree or above or intermediate title accounted for more than 30% of the total number of employees in the enterprise that year, of which R & D personnel accounted for more than 10% of the total number of employees in the enterprise that year. For enterprises with sales revenue of 50 million yuan to 20,000 million yuan in the most recent year, the proportion of the total R&D expenses in the total sales revenue of the three fiscal years shall not be less than 3%; Scientific and technological personnel with college degree or above or intermediate title accounted for more than 20% of the total number of employees in the enterprise that year, of which R & D personnel accounted for more than 8% of the total number of employees in the enterprise that year. For enterprises with sales revenue of more than 20,000 yuan in the most recent year, the proportion of total research and development expenses in the total sales revenue of the three fiscal years shall not be less than 2%; Scientific and technological personnel with college degree or above or intermediate title accounted for more than 10% of the total number of employees in the enterprise that year, of which R & D personnel accounted for more than 6% of the total number of employees in the enterprise that year. If the time of incorporation of an enterprise is less than three years, it shall be calculated according to the actual operating years.

(4) The income of high-tech products (services) accounts for more than 60% of the total income of the enterprise in the year.

(5) Having a sound management system for production, technology and finance.

(6) Have the corresponding development, production conditions and product quality assurance measures.

(7) The enterprise has no major illegal acts within three years, and the materials submitted are true and reliable.

Shenzhen high-tech enterprise accreditation application and accreditation procedures

Article 8 A new and high-tech enterprise shall be determined to make centralized declaration and examination and approval three times a year, and the declaration time shall be from the first working day to the tenth working day of March, June and September. The approval period is 45 working days.

Article 9 The application and identification of new and high technology enterprises shall be carried out in accordance with the following procedures:

(A) the enterprise online to fill in the "Shenzhen high-tech Enterprise identification application". ,

(2) After the preliminary examination of the document office window of the Civic center is passed, the municipal science and technology competent department and the municipal finance competent department entrust the Shenzhen Science and Technology Expert Committee to organize experts to evaluate the declared enterprises and put forward identification opinions.

(3) The municipal science and technology department and the municipal finance department shall conduct joint examination of the enterprises that have passed the evaluation, and the list of enterprises that have passed the joint examination shall be publicized online, and the publicity period shall be 5 working days. If there is any objection to the publicity, relevant agencies shall be organized to investigate and draw corresponding conclusions.

(4) After approval, the municipal science and technology department and the municipal finance department shall issue the "Shenzhen High-tech Enterprise Identification Certificate".

Shenzhen high-tech enterprise accreditation application materials

Article 10 An application for recognition as a high-tech enterprise in Shenzhen shall provide the following materials:

(1) Application for Recognition of High-tech Enterprises in Shenzhen.

(2) The copy of the business license of the enterprise (original) or the copy of the registration certificate of the legal person (original), the copy of the code certificate of the legal institution (original) and the certificate of the legal representative (original).

(3) The financial audit report of the enterprise for three fiscal years and the special audit report of the high-tech enterprise audited by a qualified accounting firm (original) (the actual operating period of less than three years shall be based on the actual operating period), and the detailed list of all taxes paid by the enterprise after examination and seal by the national and local tax departments; The special audit report of high-tech enterprises shall be issued by an accounting firm recognized by the municipal finance department.

The special audit report shall specify the proportion of total research and development expenses in total sales revenue, the proportion of scientific and technological personnel with college degree or above or intermediate title or above, the proportion of research and development personnel in the total number of employees of the enterprise in the year and the proportion of high-tech products (services) revenue in the total revenue of the enterprise in the year. Including high-tech products sales revenue and technical income details, high-tech products profit and tax details, development funds expenditure details (including R & D equipment purchase details, raw material purchase, component purchase, mold development costs, testing fees, R & D personnel salaries and expenses, etc.), R & D personnel list and academic certificates and other subjects.

(4) Relevant certificates of intellectual property rights and product quality inspection reports.

(5) Enterprises belonging to special industries shall provide special industry licenses or network access certificates; For new and high-tech products with special industry management requirements such as biomedicine, medical devices and communications, copies of the necessary documents for the production and sales of which are permitted by industry regulations must be submitted at the time of application; If the environmental pollution project shall submit the environmental protection standard certificate.

Article 11 The application materials shall be packed into a book according to the sequence of the materials catalogue, and 3 sets of written materials shall be submitted to the window of the Science and Technology Information Bureau of the Civic Center.

Review of the identification of high-tech enterprises in Shenzhen

Article 12 The qualification of a new and high-tech enterprise shall be valid for three years from the date of issuance of the certificate. An enterprise shall file an application for review within three months prior to the expiration of the term. If it fails to file an application for review or fails to pass the review, its qualification as a high-tech enterprise shall automatically become invalid upon expiration.

Article 13 When applying for review, the following materials shall be submitted:

(1) Shenzhen High-tech Enterprise Certification.

(2) Shenzhen High-tech Enterprises Annual Audit Form.

(3) The annual financial audit reports of the three fiscal years audited by a qualified accounting firm and the special audit reports of high-tech enterprises (original).

Article 14 A new and high technology enterprise shall be disqualified for any of the following acts:

(1) failing to meet the conditions for identification as a high-tech enterprise in Shenzhen.

(2) Serious infringement of intellectual property rights.

(3) being punished for violating State laws or administrative regulations.

(4) failing to submit annual statements and the Annual Audit Form of Shenzhen High-tech Enterprises on time.

The municipal department of science and technology and the municipal department of finance shall publicize the enterprises that have passed the review in accordance with Article 9 (3), and affix the seal of validity on its "Shenzhen High-tech Enterprise Certificate" if there is no objection to the publicity, and the enterprises shall go through the preferential policy procedures with the certificate and relevant documents affixed to the corresponding government departments; The enterprise whose qualification as a high-tech enterprise has been revoked shall recover its certificate as a high-tech enterprise.
